These Terms of Service ("Terms") govern your access to and use of the AgentAIShield platform, API, dashboard, and related services (the "Service") provided by AgentAIShield by You! Ventures LLC ("AgentAIShield," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
You own your data. We provide the security layer as a service. You're responsible for appropriate use. We're responsible for keeping the platform up and your data safe. These Terms protect both of us.
AgentAIShield is currently in private beta. By signing up with a beta invite code, you acknowledge and agree to the following:
These beta terms supplement the general Terms of Service below and take precedence where they conflict during the beta period.
AgentAIShield provides an AI agent security monitoring platform that includes: a proxy layer for routing LLM API calls, real-time PII detection and redaction, prompt injection defense, cost controls, an Agent Trust Score™ computation engine, audit logging, compliance reporting tools, and a web dashboard.
The Service is provided on a subscription basis with tiered plans. Feature availability depends on your subscription tier as described on our pricing page.
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
You are responsible for maintaining the confidentiality of your credentials and API keys. Notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.
You agree to provide accurate, current, and complete information. We reserve the right to suspend accounts with false or misleading information.
The Service is designed for routing, monitoring, and securing AI agent API calls in legitimate software products and applications.
You may not use the Service to:
API keys are credentials tied to your account. Treat them as secrets. Do not commit them to public repositories. If a key is compromised, rotate it immediately via the dashboard.
The Service enforces rate limits per plan as documented. Repeated sustained violations of rate limits may result in temporary suspension. We will notify you before taking such action when feasible.
Monthly request limits, log retention periods, and feature access are determined by your subscription plan. Exceeding request limits will result in requests being rejected with a 429 status code (not silently failed).
You own your data. All request logs, monitoring metadata, Trust Score data, and configurations associated with your account belong to you. AgentAIShield does not claim any ownership over your data.
By using the Service, you grant AgentAIShield a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you. This license terminates when your account is closed and data is deleted per our retention schedule.
You may export your data at any time via the dashboard or API. On account termination, you have 30 days to export before deletion.
We do not use your monitoring data, request content, or agent configurations to train our detection models without your explicit written consent. Detection models are trained on synthetic and publicly available datasets.
The Service, including the platform, API, detection models, Agent Trust Score™ algorithm, and all related software, are and remain the exclusive property of AgentAIShield by You! Ventures LLC. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service as described herein.
If you provide feedback or suggestions about the Service, we may use it without restriction or compensation. You waive any rights in such feedback.
Paid plans are billed in advance on a monthly or annual cycle. All fees are in USD and non-refundable except where required by law or as specified in a written agreement.
You may upgrade your plan at any time; the new rate is prorated and takes effect immediately. Downgrades take effect at the next billing cycle. No refunds are issued for unused time on downgraded plans.
If payment fails, we will retry for 7 days and notify you by email. After 7 days of non-payment, your account may be downgraded to Free tier. Your data is retained for 30 days before deletion.
You are responsible for all applicable taxes. AgentAIShield will add applicable sales taxes to invoices where required by law.
The Service is provided "AS IS" and "AS AVAILABLE." We make reasonable efforts to maintain accuracy and uptime, but we do not warrant that the Service will be uninterrupted, error-free, or that our detection systems will catch every threat. No security system is perfect. AgentAIShield is a defense-in-depth layer, not a guarantee of security.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
To the maximum extent permitted by applicable law, AgentAIShield's total cumulative liability for any claims arising from or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to AgentAIShield in the 12 months preceding the claim, or (b) $100 USD.
In no event shall AgentAIShield be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
You may close your account at any time from Settings → Account → Delete Account. Closing your account terminates your subscription at the end of the current billing period (or immediately for Free accounts). Paid plan subscriptions are not refunded upon voluntary termination.
We may suspend or terminate your account with notice for: violation of these Terms, non-payment, or activity we determine creates legal or security risk. We may terminate immediately without notice for severe violations (e.g., malicious use, attempted platform abuse).
Upon termination, your right to use the Service ceases. We will retain your data for 30 days post-termination for export, then delete it per our Privacy Policy.
You agree to indemnify and hold harmless AgentAIShield by You! Ventures LLC and its officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any third-party rights, or your data.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. The exclusive jurisdiction for any disputes not subject to arbitration shall be the state and federal courts located in Travis County, Texas.
Any dispute, controversy, or claim arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive the right to a jury trial and the right to participate in a class action.
We may update these Terms from time to time. We will notify you via email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you disagree with changes, you may close your account before they take effect.
